{"id":731756,"date":"2024-10-02T08:24:19","date_gmt":"2024-10-02T08:24:19","guid":{"rendered":"https:\/\/leh.acrowd.se\/?page_id=731756"},"modified":"2026-06-05T09:48:08","modified_gmt":"2026-06-05T09:48:08","slug":"code-of-conduct","status":"publish","type":"page","link":"https:\/\/www.tryckluftsgruppen.se\/en\/code-of-conduct\/","title":{"rendered":"Code of conduct"},"content":{"rendered":"<div style=\"height:80px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h1 class=\"wp-block-heading\"><strong>Code of Conduct<\/strong><\/h1>\n\n\n\n<p class=\"wp-block-paragraph\">Antagen 2026-01-19<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">F\u00f6r TLG \u00e4r det viktigt att verksamheten inom f\u00f6reningen bedrivs p\u00e5 ett s\u00e4tt som tydligt h\u00e5ller sig inom konkurrensr\u00e4ttens ramar. Konkurrensr\u00e4ttens syfte \u00e4r att stimulera fri konkurrens vilket har TLG:s fulla st\u00f6d. TLG har d\u00e4rf\u00f6r i januari 2026 antagit nedanst\u00e5ende uppf\u00f6randekod, tidigare har man f\u00f6ljt den av Teknikf\u00f6retagens Branschgrupper AB antagna uppf\u00f6randekoden.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">TLG ska iaktta koden och verka f\u00f6r att den f\u00f6ljs av medlemmarna som \u00e4r anknutna till TLG inom f\u00f6reningens verksamhet.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Uppf\u00f6randekoden syftar till att ge klara regler f\u00f6r TLGG och medlemmarna. \u00d6vertr\u00e4delser av koden kan leda till att TLG med omedelbar verkan s\u00e4ger upp samarbetet med ber\u00f6rd medlem. En annan konsekvens \u00e4r att TLG och dess medlemsf\u00f6retag, p\u00e5 initiativ av Konkurrensverket, av domstol kan \u00e5l\u00e4ggas att betala s.k. konkurrensskadeavgift. S\u00e5dan avgift kan uppg\u00e5 till synnerligen h\u00f6ga belopp.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>F\u00f6ljande regler ska alltid iakttas inom TLG inom f\u00f6reningens verksamhet:<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Basic working method<\/strong><\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Meetings with boards, committees, working groups and other collaborative bodies may only take place after the participants have been invited in writing. An email also counts as a written invitation. The invitation to the meeting must include an agenda.<\/li>\n\n\n\n<li>Minutes shall be taken of each meeting referred to in paragraph 1 above. The minutes shall be sent to all members of the forum concerned. They shall be kept in an organised manner for at least 10 years.<\/li>\n\n\n\n<li>Consultations and discussions within a board, committee, working group or other collaborative body shall, if the topics are market-related, be limited to the official meeting at which minutes are kept.<\/li>\n\n\n\n<li>During consultations, as referred to in paragraph 3 above, the participants may not agree that a particular topic will be discussed during the meeting without minutes being taken. In such cases, the chairman of the meeting shall stop further discussion.<\/li>\n\n\n\n<li>Vid varje m\u00f6te med en styrelse, kommitt\u00e9, arbetsgrupp eller annat samarbetsorgan under vilket marknadsrelaterade \u00e4mnen diskuteras, ska minst en representant\/tj\u00e4nsteman fr\u00e5n TLG delta. Denne ska vara uppm\u00e4rksam p\u00e5 \u00e4mnen som \u00e4r konkurrensr\u00e4ttsligt k\u00e4nsliga. Om tveksamhet uppst\u00e5r f\u00e5r \u00e4mnet inte diskuteras f\u00f6rr\u00e4n en expert p\u00e5 konkurrensr\u00e4tt konsulterats och dennes r\u00e5d inneb\u00e4r att \u00e4mnet kan diskuteras utan problem eller att ramarna f\u00f6r diskussionen blivit klargjorda.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>A. Prohibited substances<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">F\u00f6ljande \u00e4mnen \u00e4r f\u00f6rbjudna vid m\u00f6ten med styrelser, kommitt\u00e9er, arbetsgrupper och andra samarbetsorgan anknutna till TLG, s\u00e4rskilt om informationsutbyte i dessa \u00e4mnen sker mellan f\u00f6retag som \u00e4r konkurrenter:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Sales prices, tariffs, (planned) price adjustments, recommended prices, discounts, price increases and other price-related topics regarding the products or services of the member companies;<\/li>\n\n\n\n<li>Market segmentation, for example by allocating a specific geographical area, specific customers or specific groups of customers to specific member companies;<\/li>\n\n\n\n<li>Restrictions on production or sales;<\/li>\n\n\n\n<li>Consultation in advance regarding responses to requests for quotations from potential customers.<\/li>\n\n\n\n<li>Exchange of market information concerning individual member companies, i.e. information on production, turnover, sales, investments, divestments, R&amp;D costs and other information insofar as it is related to specific products or services or categories thereof and may be considered commercially sensitive;<\/li>\n\n\n\n<li>Publication of average prices or price ranges within the industry;<\/li>\n\n\n\n<li>Exclusivity for specific member companies to represent producers and importers;<\/li>\n\n\n\n<li>Boycott of specific suppliers or customers;<\/li>\n\n\n\n<li>Other topics that may lead to anti-competitive coordination of the market behavior of member companies;<\/li>\n\n\n\n<li>Prior consultation between competitors regarding responses to requests for tenders, whether from a public or private buyer;<\/li>\n\n\n\n<li>Agreements between all competitors to add a fee to the bids to compensate the companies that do not win the bidding competition for their bidding costs.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>B. Substances that may pose a problem<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The following topics may, under certain circumstances, pose a competition law problem, particularly in a highly concentrated, oligopolistic market, i.e. a market with few players. The topics may therefore only be discussed after consultation with a competition law expert:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>General delivery provisions. If the provisions relate to sensitive competition parameters such as prices, tariffs, methods of indexing, charges for specific costs, or if the use of the provisions is mandatory, the competition authorities may object;<\/li>\n\n\n\n<li>Restrictions on participation in trade fairs. In general, all companies should be free to participate in any trade fairs they wish and companies may not be asked to boycott trade fairs. Restrictions on the freedom to participate are only permitted under specific conditions. The fact that member companies negotiate jointly to obtain better prices or other conditions from a trade fair organisation does not constitute a competition law problem;<\/li>\n\n\n\n<li>Special requirements for membership in a trade association. As long as the supplier&#039;s membership does not play a decisive role for potential customers in their choice of products and services, it is unobjectionable under competition law. However, as soon as customers consider such membership to be significant, the requirements for membership in the trade association must meet objective criteria;<\/li>\n\n\n\n<li>Det \u00e4r i princip till\u00e5tet f\u00f6r TLG att samla in kommersiell information om individuella f\u00f6retag och g\u00f6ra denna information tillg\u00e4nglig f\u00f6r medlemsf\u00f6retagen i aggregerad form. De nationella konkurrensmyndigheterna i vissa EU-l\u00e4nder till\u00e5ter bara s\u00e5dana statistiksystem om den insamlade informationen \u00e4r tillr\u00e4ckligt gammal, t.ex. omfattar data som \u00e4r \u00e5tminstone ett \u00e5r gammal, och\/eller om informationen har gjorts allm\u00e4nt tillg\u00e4nglig.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>C. Substances that do not pose a problem<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">F\u00f6ljande \u00e4mnen utg\u00f6r i stor utstr\u00e4ckning k\u00e4rnverksamhet f\u00f6r TLG. Diskussioner och samr\u00e5d om dessa \u00e4mnen utg\u00f6r normalt inte n\u00e5gra problem enligt konkurrensr\u00e4tten, under f\u00f6ruts\u00e4ttning att \u00e4mnen som anges under punkt A. ovan inte ber\u00f6rs:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>General cyclical economic data and business climate data, provided that discussions on these topics do not relate to the actions of any individual company. Discussions on these topics focus on the macro level and do not affect the market behavior of individual companies.<\/li>\n\n\n\n<li>Lobbying activities relating to common interests within the industry and which concentrate on legislation and other general issues that may affect the industry;<\/li>\n\n\n\n<li>Labor law and social issues. These issues are not affected by competition law.<\/li>\n\n\n\n<li>Legal issues. These issues are by definition of a general nature, as they affect all companies&#039; business to the same extent;<\/li>\n\n\n\n<li>Standardization issues, if (I) the standardization process is transparent and open to all parties who wish to participate, (II) there is no compulsion to comply with the standard, (III) access to the standard is provided on fair, reasonable and non-discriminatory terms and conditions and (IV) discussions in connection with the standardization process are limited to technical aspects. Standardization aims at product compatibility and technological development which will normally be to the benefit of the end user;<\/li>\n\n\n\n<li>S\u00e4kerhet och h\u00e4lsofr\u00e5gor. TLG har ett intresse av att fr\u00e4mja milj\u00f6h\u00e4nsyn vid anv\u00e4ndningen av branschens produkter.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Application of the Code and Rules of Conduct<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Tvivel kan n\u00e5gon g\u00e5ng, uppkomma om ett f\u00f6rfarande, s\u00e4rskilt s\u00e5dana som anges under b) ovan, \u00e4r f\u00f6renligt med konkurrenslagens f\u00f6rbud mot konkurrensbegr\u00e4nsande avtal och samordnade f\u00f6rfaranden. Den fr\u00e5ga som d\u00e5 b\u00f6r st\u00e4llas \u00e4r vilket syfte handlingen har och vilka effekter den har. F\u00f6rfarandet \u00e4r otill\u00e5tet om syftet \u00e4r konkurrensbegr\u00e4nsande.
